1. Scope of Services
We provide consulting services as outlined in the agreed Proposal, Statement of Work (SOW), or Contract. The scope, deliverables, fees, and timelines will be clearly defined in that document. Any additional work or modifications outside the agreed scope will require written approval and may incur additional charges.
2. Confidentiality
Both parties agree to maintain the confidentiality of any non-public or proprietary information shared during the engagement.
Neither party shall disclose such information to any third party without prior written consent, except as required by law.
3. Intellectual Property
Unless otherwise agreed, any deliverables created by the agency for the client will become the client’s property upon full payment.
The agency retains the right to use non-confidential deliverables or anonymized project details for portfolio or marketing purposes.
4. Client Responsibilities
Provide all necessary information, access, and cooperation required for the successful completion of the project.
Ensure that any materials or data provided do not infringe on third-party rights or applicable laws.
Make timely decisions and approvals as required during the engagement.
5. Limitation of Liability
To the fullest extent permitted by law, our liability to you for any claim arising out of our services is limited to the amount of fees paid for the specific project.
We shall not be liable for any indirect, incidental, or consequential damages, including lost profits or data.
6. Independent Contractor
We operate as an independent contractor. Nothing in this agreement shall be construed to create an employer-employee, partnership, or joint venture relationship between the parties.
7. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of [State/Country].
